Contractor Terms & Master Services Agreement

These Contractor Terms and Master Services Agreement ("Agreement") govern participation in the Zenith Property Repairs contractor network.
This Agreement is between:
Zenith Property Group Inc., doing business as Zenith Property Repairs ("Zenith")
and
Any individual or business that registers as a contractor or service provider on the Zenith platform ("Contractor").
By creating a contractor account, submitting documentation, or accepting project assignments through the platform, Contractor agrees to be legally bound by this Agreement.
Scope of Agreement
Zenith operates a digital platform connecting property owners and managers with qualified contractors to perform repair, maintenance, renovation, and construction services.
This Agreement governs:
- Contractor participation on the Zenith platform
- Acceptance and execution of project assignments
- Payment terms and operational requirements
All individual projects are governed by Project Work Orders issued through the platform, which incorporate this Agreement by reference.
Independent Contractor Status
Contractor is an independent contractor and not an employee, partner, or agent of Zenith.
Contractor is solely responsible for:
- Federal, state, and local taxes
- Worker's compensation coverage
- Compliance with employment laws
- Tools, equipment, and labor required to perform services
Zenith does not provide wages, benefits, insurance, or tax withholding.
Contractor Eligibility & Compliance
To participate in the Zenith network, Contractor must maintain all licenses, permits, and certifications required to perform services in applicable jurisdictions.
Contractor must maintain accurate records in the Contractor Portal including:
- Trade licenses
- Insurance certificates
- Tax documentation
- Identity verification
Zenith may suspend or terminate contractor access if compliance documentation is missing, expired, or inaccurate.
Insurance Requirements
Contractor must maintain appropriate insurance coverage including:
- General Liability Insurance
- Worker's Compensation (where applicable)
Zenith may require proof of coverage and updated Certificates of Insurance at any time. Failure to maintain required insurance may result in suspension from the platform.
Project Assignments
Zenith may offer project opportunities to Contractor through the Contractor Portal.
Contractor may accept or decline assignments at their discretion.
Upon accepting a project, Contractor agrees to:
- Perform the work described in the Project Work Order
- Complete work within agreed timelines
- Comply with all applicable laws, codes, and safety requirements
Non-Circumvention
Contractor agrees not to solicit or perform work directly for any client introduced through the Zenith platform outside the platform.
This restriction applies:
- During project execution
- For 12 months following completion of any project
All communication, contracting, and billing related to Zenith clients must occur through the Zenith platform.
Violation may result in:
- Immediate termination of contractor access
- Withholding of pending payments
- Legal action for damages
Payment Terms
Contractor compensation is defined within each Project Work Order.
Zenith will remit payment to Contractor after:
- Project milestone or completion is approved, and
- Payment has been received from the client.
Payments are issued through the platform's designated payment processor.
Change Orders
Contractor may not perform work outside the approved scope without submitting a Change Order Request through the platform.
Additional work will only be compensated if:
- The Change Order is approved by Zenith
- The Change Order is approved by the client
Workmanship Warranty
Contractor warrants that all work performed will be free from defects in workmanship for a period of twelve (12) months following project completion unless otherwise specified in the Project Work Order.
Contractor agrees to respond to warranty service requests issued through the platform.
Indemnification
Contractor agrees to indemnify and hold harmless Zenith Property Repairs, its officers, employees, and agents from any claims, damages, or liabilities arising from:
- Contractor negligence
- Property damage
- Personal injury
- Failure to comply with laws or building codes
- Defective workmanship
Confidentiality
Contractor agrees to maintain the confidentiality of all client information and project data obtained through the Zenith platform.
Contractor may not use or disclose such information for any purpose outside Zenith-related projects.
Performance Standards
Zenith may monitor contractor performance including:
- Timeliness of project completion
- Client reviews and ratings
- Compliance with platform policies
Zenith reserves the right to suspend or remove contractors whose performance fails to meet platform standards.
Suspension or Termination
Zenith may suspend or terminate contractor access to the platform at any time if Contractor:
- Violates this Agreement
- Fails to maintain required licenses or insurance
- Engages in fraudulent or unsafe practices
- Attempts to bypass the platform for client transactions
Contractor may discontinue participation by closing their account.
Limitation of Liability
Zenith acts as a platform facilitating connections between clients and contractors.
Zenith does not guarantee:
- Project volume
- Contractor earnings
- Client behavior
To the fullest extent permitted by law, Zenith shall not be liable for indirect or consequential damages arising from contractor participation in the platform.
Governing Law
This Agreement shall be governed by the laws of the state in which Zenith Property Repairs is registered.
Acceptance
By registering as a contractor, uploading compliance documentation, or accepting project assignments through the Zenith platform, Contractor acknowledges that they have read, understood, and agree to be legally bound by this Agreement.
